 076.    1. Bidding Increments: Each auction may have diffe
 rent bidding increments. The software will calculate the nex
 t bid amount before submitting the bid.   2. Auction Ending
 : Online Auctions are timed events and all bidding will clos
 e at a specified time. Online Auctions also have an auto-ext
 end feature. Any bid placed in the final two (2) minutes of 
 an auction\; will automatically extend the ending time two (2
 ) minutes from the time the bid was placed. Example: If an a
 uction scheduled to close at 8:00 receives a bid at 7:59\, th
 e close time will automatically extend 8:02. The auto extend
  feature remains active until no further bids are received w
 ithin a two (2) minute time frame. The extension time will a
 pply to individual lots only.   3. Outbid Notification: Unt
 il the auction begins to close\, the bidding software will no
 tify bidders by email when they have been outbid. Bidders ma
 y also find out if they have been outbid by refreshing the i
 ndividual lot information. Due to varying internet connectio
 ns speed\, please place a max bid or constantly monitor the a
 uction at close of bidding. Sometimes email notifications ca
 n be delayed.   4. Property Information and Inspection: Bla
 ckwell Realty and Auction\, Auction Division is not responsib
 le for any missing or incorrect listing information. Blackwe
 ll Realty and Auction\, Auction Division has attempted to pro
 vide accurate descriptions of all items in the auction. Howe
 ver\, it is the bidder's responsibility to inspect the item a
 nd determine the condition of each lot. Descriptions that ar
 e provided by Blackwell Realty and Auction\, Auction Division
  are provided in good faith and are matters of opinion. The 
 only recourse for the buyer of an item or items that are mis
 sing or damaged prior to pick up is not paying for the item.

 vision and the seller furnish all auction items to buyers "A
 s Is"\, unsupported\, without warranty of any kind. Blackwell 
 Realty and Auction\, Auction Division and the seller disclaim
 s all warranties\, express or implied\, including the implied 
 warranties of merchantability and fitness for a particular p
 urpose. Items are sold in their actual current condition\, wi
 th all faults and defects\, and with all errors of descriptio
 n. Blackwell Realty and Auction\, Auction Division liability 
 to a purchaser will never exceed the purchase price actually
  paid for an item.   Bidders accept all auction items “wi
 th all faults”\, whether or not immediately apparent. Bidde
 rs are responsible for ascertaining actual current condition
  through personal inspection and careful review of the descr
 iption\, pictures\, video and/or support documentation. Every 
 bidder agrees that his or her decision to bid and the amount
  he or she bids have been based solely on his or her own ind
 ependent inspection and evaluation of the auction items.   
 6. Auctioneer's Discretion: Blackwell Realty and Auction\, Au
 ction Division Inc. has full discretion to modify the date a
 nd time\, order\, and details of the sale of any item or condu
 ct of any auction for any reason or no reason at all\, includ
 ing but not limited to technical issues\, emergencies\, and co
 nvenience of Blackwell Realty and Auction\, Auction Division 
 or the seller. Blackwell Realty and Auction\, Auction Divisio
 n reserves the right to modify\, change\, or remove usernames 
 at any time.   7. Server and Software Technical Issues: In 
 the event that there are technical difficulties related to t
 he server\, software or any other online auction-related tech
 nologies\, Blackwell Realty and Auction\, Auction Division res
 erves the right to extend bidding\, continue the bidding\, or 
 close the bidding. Neither the company providing the softwar
 e nor Blackwell Realty and Auction\, Auction Division shall b
 e held responsible for a missed bid or the failure of the so
 ftware to function properly for any reason. Email notificati
 ons may be sent to registered bidders with updated informati
 on as deemed necessary by Blackwell Realty and Auction\, Auct
 ion Division.   8. Terms: Blackwell Realty and Auction\, Auc
 tion Division reserves the right to reject any and all bids 
 for any reason. An accepted bid is a legal binding contract.
  Items become the full responsibility of the bidder at the t
 ime that payment is received. The bidder assumes all risk of
  loss or damage to the item at that time. Blackwell Realty a
 nd Auction\, Auction Division reserves the right to resell an
 y personal property that is not paid for in full by the conc
 lusion of the state pickup date. In any such event\, the bidd
 er will still be responsible for payment for the original pu
 rchase and the costs of collection of this payment and/or da
 mages resulting for the resale of the property.   Buyer and
  or Bidder agrees to hold harmless and indemnify Blackwell R
 ealty and Auction\, Auction Division and its Agents\, Owners\, 
 Directors\, Employees and its Representatives from any and al
 l claims\, damages or suits including but not limited to awar
 ds\, judgments\, costs\, fees\, etc.   9. Buyer's Premium: Ther
 e will be a ten percent (15%) Buyer’s Premium added to fin
 al bid price to determine the final selling price of the auc
 tion lot.   10. Payment: Payment must be made before item(s
 ) are removed by the specified date on the auction advertise
 ment. All sales are final. There are no returns\, refunds\, or
  adjustments. Please make sure your credit card is up to dat
 e before bidding on any online auction items. 15% Buyers Pre
 mium added to the final bid price to determine final selling
  price. A 3% credit card convenience fee will be added to al
 l credit card purchases. Buyers will have until 3pm of the d
 ay following the end of the auction to respond with their pr
 eferred payment method (i.e. credit card\, cash\, check). If y
 ou do not respond with payment method by 3pm\, your credit ca
 rd on file will be charged. Blackwell Realty and Auction\, Au
 ction Division will not accept credit card payment for invoi
 ces over $3\,000. Purchases made over $3\,000 must be with cas
 h or certified check. If you elect to pay by check\, only a c
 ertified check will be accepted for purchases above $200. PL
 EASE NOTE: We will NOT accept credit card payments on vehicl
 es and/or large equipment items.   10A. Credit Card Policy:
  Blackwell Realty and Auction\, Auction Division requires tha
 t you use a valid credit card in order to set up a bidding a
 ccount. By registering with your credit card\, you\, the purch
 aser agrees to the following credit card terms: 1.I\, the buy
 er\, hereby authorize Blackwell Realty and Auction\, Auction D
 ivision to charge my credit card that I have set up my bidde
 r account with\, for the full amount of my bill\, plus a $25 "
 No-Show fee" if I do not settle my unpaid account by the end
  of the allotted pick-up time and have not made other arrang
 ements with Blackwell Realty and Auction\, Auction Division f
 or payment. I understand that if I have not contacted Blackw
 ell Realty and Auction\, Auction Division or made arrangement
 s to pick-up my items after 3 business days following the al
 lotted pick-up time\, I forfeit my items to Blackwell Realty 
 and Auction\, Auction Division 2.I\, the buyer\, understand the
  terms of the auction including pickup and payment dates and
  timelines\, and agree that I have placed bids with the inten
 t of abiding by the auctions set terms and conditions. 3.I\, 
 the buyer\, have been given the opportunity to inspect the it
 ems in person and understand Blackwell Realty and Auction\, A
 uction Division is selling the items in AS IS\, WHERE IS\, con
 dition. 4.I\, the buyer\, hereby agree to authorize Blackwell 
 Realty and Auction\, Auction Division to charge my credit car
 d for my purchases in the event that I do not pick up my ite
 ms in person and make other payment arrangements. I also agr
 ee that Blackwell Realty and Auction\, Auction Division is no
 t responsible for handling\, moving or storing the items I ha
 ve purchased and that I risk the chance of those items being
  stolen or damaged if left behind. 5.I\, the buyer\, hereby ag
 ree to not challenge or deny payment to Blackwell Realty and
  Auction\, Auction Division for purchases made with the credi
 t card that I have placed on file with Blackwell Realty and 
 Auction\, Auction Division I fully understand the terms and c
 onditions of the auction and hereby agree to this Credit Car
 d Policy or I will not place bids with this auction website.
  6.I\, the buyer\, understand that Blackwell Realty and Auctio
 n\, Auction Division will not accept credit card payment for 
 invoices over $3\,000. 11. Auction Cancellation: Blackwell Re
 alty and Auction\, Auction Division reserves the right to can
 cel this auction\, or remove any item or lot from this auctio
 n prior to the close of bidding.   12. Bidder Verification:
  The identity of all bidders will be verified. Bidding right
 s are provisional\, and if complete verification is not possi
 ble\, Blackwell Realty and Auction\, Auction Division will rej
 ect the registration\, and bidding activity will be terminate
 d. The Seller and Blackwell Realty and Auction\, Auction Divi
 sion reserve the right to preclude any person from bidding i
 f there is any question as to the person’s credentials\, me
 ntal fitness\, etc.   13. Bidder Responsibilities: Bidder re
 sponsibilities include\, but are not limited to: Bidders agre
 e to keep their username and password confidential\, as they 
 are responsible for ANY and ALL activity involving their acc
 ount. If the registered bidder's user name is offensive to B
 lackwell Realty and Auction\, Auction Division\, or in their s
 ole opinion detrimental to Bidding Activity\, then Blackwell 
 Realty and Auction\, Auction Division\, reserves the right to 
 delete the bidder from bidding or unilaterally change the us
 ername with notification to the Bidder. When using the websi
 te\, you must obey any and all local state and federal laws. 
 Violations will result in termination of web site use privil
 eges. Auction company employees and/or auction company may b
 id on auction. We gather aggregate information from the web 
 site which may include but is not limited to: number of page
  visitors\, most visited pages\, and any and all correspondenc
 e.   14. Personal Property Pickup: All items\, must be picke
 d up from the address listed on the auction\, as well as the 
 date listed\, once Blackwell Realty and Auction\, Auction Divi
 sion\, Inc. has received and acknowledged payment in full. It
 ems will not be released to buyers until payment is made in 
 full to Blackwell Realty and Auction\, Auction Division. Bidd
 ers are responsible for rigging\, loading\, and moving all ite
 ms purchased without assistance from Blackwell Realty and Au
 ction\, Auction Division If you are the winning bidder on lar
 ge items\, please bring help and equipment to load the item. 
   15. Security: Surveillance and security are on site\; plea
 se do not enter the property except at the specified preview
  date and time or by appointment.   16. Default: If purchas
 es are not settled by the specified pick-up day\, it will be 
 considered in default. Upon default the bidder will be black
  listed / blocked from bidding on Blackwell Realty and Aucti
 on\, Auction Division auctions\, as well as MarkNet Alliance a
 uctions and may be charged ten percent (15%) of bid price or
  five hundred dollars ($500)\, whichever is greater. All defa
 ulted items may be offered to the next highest qualified bid
 der at the discretion of Blackwell Realty and Auction\, Aucti
 on Division.   The bidder agrees to pay all reasonable atto
 rney fees and other costs incurred by Blackwell Realty and A
 uction\, Auction Division in its efforts to collect unpaid fu
 nds from the bidder. The bidder agrees that a fee of two per
 cent (2%) of the outstanding balance per month be added to a
 ny unpaid balance due Blackwell Realty and Auction\, Auction 
 Division. Any dispute will be tried in a court of jurisdicti
 on in Rutherford County\, Tennessee.   EACH PARTY HEREBY KNO
 WINGLY\, VOLUNTARILY AND INTENTIONALLY WAIVES (TO THE EXTENT 
 PERMITTED BY APPLICABLE LAW) ANY RIGHT IT MAY HAVE TO A TRIA
 L BY JURY OF ANY DISPUTE ARISING UNDER OR RELATING TO THIS A
 GREEMENT AND AGREES THAT ANY SUCH DISPUTE SHALL BE TRIED BEF
 ORE A JUDGE SITTING WITHOUT A JURY.   17. Guaranty Agreemen
 t: By submitting a bid in the name of a business entity or c
 orporation\, the individual submitting the bid enters into a 
 guaranty agreement whereby he or she personally guarantees p
 ayment to Blackwell Realty and Auction\, Auction Division of 
 any bid amount not paid when due by the business entity or c
 orporation\, for any reason\, together with all collection exp
 enses incurred to enforce collection\, including a reasonable
  attorney's fee.   18. Limitation of Liability: If\, for any
  reason\, Blackwell Realty and Auction\, Auction Division is u
 nable to make available or deliver any Purchase\, or portion 
 thereof\, or documentation required in respect of any Purchas
 e at time of pickup\, the sole liability of Blackwell Realty 
 and Auction\, Auction Division\, if any\, shall be the return o
 f any paid monies in respect of such Purchase upon its retur
 n by Purchaser.   19. Disputes: Any dispute between Blackwe
 ll Realty and Auction\, Auction Division\, its Agents or Repre
 sentatives and the Buyer(s) will be tried in a court of juri
 sdiction in Wilson County\, Tennessee. By bidding on any item
 \, buyer agrees to all terms and conditions set forth.   20.
  Age Requirement: All bidders must be eighteen (18) years of
  age or older.   21. Firearms Regulations: Bidders must abi
 de by any local\, state\, or federal laws set forth on any fir
 earm purchases.   22. Purchased Items: All buyers are respo
 nsible for making sure that all items purchased are accounte
 d for before leaving the designated pick-up location after t
 he auction has closed.   23. Acceptance of Bid Prices: All 
 bids are subject to seller confirmation unless noted as ABSO
 LUTE.   24. Loading\, Rigging and Dismantling Items: While p
 ersonnel at loading sites may assist Buyers\, Buyer assumes a
 ll responsibility and liability for the loading\, rigging\, di
 smantling\, securing\, transportation\, and unloading of purcha
 sed goods. Buyer agrees to hold the Seller and Blackwell Rea
 lty and Auction\, Auction Division\, Inc. harmless for any pro
 perty damage or injuries related to the loading\, securing\, t
 ransportation\, and unloading.   25. By registering for this
  auction\, you understand and expressly acknowledge that an i
 nherent risk of exposure to COVID-19 exists in any public pl
 ace where people are present. In attending the auction or pr
 eview\, you and any guests voluntarily assume all risks relat
 ed to exposure to COVID-19\, and waive\, release\, and discharg
 e Blackwell Realty and Auction\, Auction Division or any of t
 heir affiliates\, directors\, officers\, employees\, agents\, con
 tractors\, or volunteers from any and all liability under any
  theory\, whether in negligence or otherwise\, for any illness
  or injury.
