Court Approval
This real estate auction is contingent upon approval by the Chancery Court. The successful high bidder acknowledges and understands that the sale is subject to court approval and that completion of the transaction is dependent upon such approval. No representation or guarantee is made by Blackwell Realty & Auction as to the timing of the Court's approval.
Auction Format
The property will be offered at simulcast public auction, allowing bidders to participate in accordance with the advertised auction format and procedures. Blackwell Realty & Auction reserves the right to control bidding increments and conduct the auction at it’s discretion.
Buyer's Premium
A ten percent (10%) Buyer's Premium will be added to the successful high bid to determine the total contract purchase price. Example: A high bid of $500,000 plus the 10% Buyer's Premium of $50,000 results in a total contract purchase price of $550,000.
Deposit
The successful high bidder is required to tender a $25,000 deposit by wire transfer or other certified funds no later than two (2) business days following completion of the auction. The deposit will be credited toward the purchase price at closing. Failure of the successful bidder to timely tender the required deposit shall constitute a default by the Buyer.
Purchase Agreement
The successful high bidder will be required to execute the applicable real estate purchase agreement and any other documents reasonably required to complete the transaction. By placing a bid, the bidder acknowledges that a successful high bid creates an obligation to proceed with the purchase in accordance with these Terms & Conditions and the applicable purchase documents, subject to Chancery Court approval.
Closing & Possession
Closing is scheduled to occur no later than thirty (30) days following the auction, subject to the required Chancery Court approval. The balance of the purchase price and applicable closing costs shall be due at closing. Possession of the property will be delivered to the Buyer at closing with deed.
Title
Seller represents that good title to the real estate will be conveyed to the Buyer by General Warranty Deed. Buyers are encouraged to perform any desired title investigation as part of their due diligence prior to bidding.

Default by Buyer
If the successful Buyer defaults after the earnest money deposit has been made and fails to complete the purchase, the deposit shall be handled in accordance with the auction contract and applicable purchase documents. The defaulting Buyer may also be responsible for any additional remedies available to the Seller or Auction Company under the applicable agreements or law.
Court Non-Approval
Because this auction is contingent upon Chancery Court approval, the successful high bid does not eliminate the requirement for such approval. If the Court does not approve the sale, the parties' obligations will be governed by the applicable court orders, purchase documents, and agreements relating to the transaction.
Pre-Auction Offers
Written offers received prior to the scheduled auction may be presented to the Seller. The Seller reserves the right to accept, reject, or negotiate a pre-auction offer. Unless otherwise agreed to in writing by the Seller and Blackwell Realty & Auction, any accepted pre-auction offer will be subject to the same applicable deadlines, Buyer's Premium, deposit requirements, closing schedule, and other provisions established for the public auction. Broker Participation
